Terms & Conditions
Effective date: 28 October 2025
Campaign: Referral Incentive
Developer: 39 Cradock Avenue (Pty) Ltd (“Developer”)
Development: One Rosebank (“Development”)
These Terms and Conditions (“T & Cs”) govern participation in the Campaign. By submitting a referral for One Rosebank, the participant accepts these Ts & Cs.
1. Definitions
- Bankable / Unconditional Sale: A sale that has become fully unconditional within the meaning of the signed sale agreement for the unit (“Sale Agreement”), including, without limitation, fulfilment of any suspensive conditions (such as final grant of mortgage bond/finance approval on standard terms acceptable to the Developer, payment of any deposits, and signature of all required documents).
- Registration: The successful transfer and registration of the unit into the purchaser’s name at the Deeds Office.
- Referrer: Any natural person or juristic entity who submits a referral in accordance with these T&Cs.
- Referred Buyer: A purchaser who is not already known to or recorded by the Developer or its appointed sales agents and who is validly introduced by a Referrer in accordance with these T&Cs.
2. Campaign Period, Scope and Caps
2.1 The Campaign commences on 1 November 2025 and end on 30 November 2025, or upon the first ten (10) qualifying deals being reached, whichever occurs first (“Campaign Period”).
2.2 The Campaign applies only to units at One Rosebank sold by the Developer during the Campaign Period and subject to availability and signature of the Developer’s standard Sale Agreement.
2.3 Once the cap of ten (10) qualifying deals is reached for the Campaign, no further entries will be eligible for the Campaign benefit, even if within the Campaign Period. The Developer’s records are conclusive in this regard.
3. Eligibility and Bankability Window
3.1 To qualify for the Campaign benefit, the relevant Sale Agreement must be accepted/signed by the Developer and must become Bankable within 30 (thirty) calendar days of the Developer’s acceptance/signature (“Bankability Window”).
3.2 Failure to meet the Bankability Window will result in automatic disqualification from the Campaign benefit, without limitation to any other rights of the Developer under the Sale Agreement.
3.3 The Developer’s internal records (including signature/acceptance date and status confirmations from conveyancers/bond originators) shall be conclusive proof of dates and Bankability.
4. Campaign: Referral Incentive
4.1 Benefit: A SMEG coffee machine with a recommended retail value of approximately R10,000 (model: subject to availability and at developers discretion) will be awarded to the Referrer of a valid Referred Buyer.
4.2 Conditions to earn: The Referral Incentive becomes earned and deliverable only when:
a) the Referred Buyer’s Sale Agreement is accepted/signed by the Developer during the Campaign Period;
b) the Sale Agreement becomes Bankable within the 30day Bankability Window; and
c) the unit successfully Registers into the Referred Buyer’s name.
4.3 Who may refer: Anyone may be a Referrer (ownership at One Rosebank is not required). Referrers must be 18 years or older and legally capable of contracting.
4.4 How to submit a referral: Prior to first contact or prior to the Referred Buyer being recorded by the Developer/its agencies, the Referrer must submit the referral in writing via info@tricolt.co.za, providing the Referred Buyer’s full name, contact details, and consent to be contacted. The Developer will confirm receipt with a timestamped acknowledgement.
4.5 First-come precedence: Where multiple Referrers submit the same prospective buyer, the first valid referral received and acknowledged in writing by the Developer takes precedence. The Developer’s records will be conclusive.
4.6 Existing leads excluded: No Incentive is payable where the Referred Buyer is already on the Developer’s/agents’ database or has made prior contact/enquiry, or has already been introduced by another source.
4.7 Delivery: The coffee machine will be delivered/available for collection within 30 business days after Registration to the Referrer at the Tricolt head office in Houghton.
Valid identification and the written acknowledgement of the referral may be required.
4.8 No substitutions / no cash: The coffee machine cannot be exchanged for cash or credit. The Developer may, at its discretion, substitute the specified model with a model of equal or greater value if stock is unavailable.
4.9 Limit: One Referral Incentive is payable per registering unit. Where a Referrer introduces multiple buyers who each purchase and Register, a separate Incentive may be earned per unit that meets all conditions, subject to the Campaign cap in clause 2.
4.10 Tax: Any tax liabilities (including income tax) relating to the Incentive are for the Referrer’s account. The Developer may require completion of any reasonable declarations for compliance.
5. General Provisions
5.1 Compliance: Participation is subject to the Sale Agreement terms, applicable sectional title/HOA rules, and all laws and regulations (including the Consumer Protection Act, 2008 and the Property Practitioners Act, 2019).
5.2 No agency: Estate agents and sales personnel acting within their professional mandate do not qualify as Referrers in respect of their own mandates.
5.3 Records: The Developer’s and its conveyancers’ records regarding dates, status, and eligibility shall be final and binding.
5.4 Fraud & Misconduct: Any misrepresentation, abuse, or attempt to circumvent these T&Cs will result in disqualification and may lead to legal action.
5.5 Variations: The Developer may amend, suspend, or withdraw either Campaign at any time on written notice published at tricolt.co.za, provided that accrued rights of already qualified participants are not unreasonably prejudiced.
5.6 No waiver: Failure by the Developer to enforce any provision shall not constitute a waiver.
5.7 Limitation of liability: To the fullest extent permitted by law, the Developer shall not be liable for any indirect, consequential, or special loss. In respect of the Referral Incentive, the manufacturer’s standard warranty terms apply; the Developer gives no additional warranties.
5.8 Data privacy (POPIA): Personal information will be processed strictly in accordance with the Developer’s privacy notice and the Protection of Personal Information Act, 2013 (“POPIA”) for purposes of administering the Campaigns and the Sale Agreement.
Participants consent to such processing and may exercise their POPIA rights via info@tricolt.co.za.
5.9 Disputes: Any disputes will be handled first through the Developer’s internal escalation process.
5.10 Governing law: These T&Cs are governed by the laws of the Republic of South Africa.
